Public offer agreement for the sale of digital goods

1. General provisions

1.1. IRINA MALEEVA designs, hereinafter referred to as the "Seller", publishes a Public Offer for the sale of digital goods presented on the Seller's official website https://iriskabeat.ru .

1.2. In accordance with Article 437 of the Civil Code of the Russian Federation (CC RF), this document is a public offer, and if the conditions set out below are accepted, the individual accepting this offer will pay for the Seller's Digital Goods in accordance with the terms of this Agreement. In accordance with paragraph 3 of Article 438 of the Civil Code of the Russian Federation, payment for a Digital Product by the Buyer is an acceptance of the offer, which is considered equivalent to concluding a Contract on the terms set out in the offer.

1.3. Based on the above, carefully read the text of the public offer, and if you do not agree with any clause of the offer, you are invited to refuse to purchase Digital Goods provided by the Seller.

1.4. In this offer, unless the context requires otherwise, the following terms have the following meanings:

"Offer" – a public offer A letter from the Seller addressed to any individual (citizen) to conclude a purchase and sale agreement with him (hereinafter referred to as the "Agreement") on the existing terms and conditions contained in the Agreement, including all its appendices.

"Buyer" is an individual who has concluded a Contract with the Seller on the terms contained in the Contract.

"Acceptance" is the Buyer's full and unconditional acceptance of the terms of the Contract.

"Digital Goods" is a list of product range items presented on the official website.

"Order" – individual items from the assortment list of Digital Goods specified by the Buyer when making an application on the website.

 

2. Subject of the agreement

2.1. The Seller sells the Digital Product in accordance with the current price list published on the Seller's website "https://iriskabeat.ru ", and the Buyer makes the payment and accepts the Digital Goods in accordance with the terms of this Agreement.

2.2. This Agreement is an official document of the Seller and an integral part of the offer.

 

3. Making An Order

3.1. The Digital Product is ordered by the Buyer through the website https://iriskabeat.ru .

3.2. When placing an Order on the Seller's website, the Buyer undertakes to provide the following mandatory information about himself: name and email address.

3.3. The Seller undertakes not to disclose the Buyer's information specified when placing an Order on the website. https://iriskabeat.ru , persons who are not related to the execution of the Order. Having approved the Order of the selected Digital Product, the Buyer provides the Seller with the necessary information in accordance with the procedure specified in clause 3.2. of this Agreement.

3.4. The Seller is not responsible for the content and accuracy of the information provided by the Buyer when placing the Order.

3.5. The Buyer is responsible for the accuracy of the information provided when placing an Order.

3.6. Payment by the Buyer for an Order independently placed on the Website means that the Buyer agrees to the terms of this Agreement. The day of payment of the Order is the date of conclusion of the Purchase Agreement between the Seller and the Buyer.

3.7. If the Buyer has any questions regarding the properties and characteristics of the Digital Product, he must consult the Seller before placing an Order.

 

4. Terms of Order execution

4.1. The Digital Product is delivered to the Buyer immediately after placing and paying for the Order. Due to technical failures for reasons beyond the control of the Seller, it is allowed to delay the delivery of Digital Goods for up to 24 hours from the date of payment.

4.2. If the Buyer provides false information about his contact details, the Seller is not responsible for the improper execution of the Order.

 

5. Order Payment

5.1. Payment for the Order is made by transferring funds from the Buyer to the Seller through the payment form posted on the website. https://iriskabeat.ru . Confirmation of payment for a completed Order is an information letter that is sent to the Buyer by e-mail after payment of the Order. It also contains a link(s) to download a Digital Product.

5.2. Prices for any items of Digital Goods indicated on the website https://iriskabeat.ru , may be changed unilaterally by the Seller without notifying the Buyer.

 

6. Product delivery

6.1 The Digital Product is delivered to the Buyer by sending it to the specified email address after the Order is placed and paid for. Emails are sent automatically via the Vigbo platform, on which the Seller's website is located.

 

7. Order Refund

7.1. According to paragraph 14 of the Decree of the Government of the Russian Federation dated January 19, 1998 N 55 "On approval of the Rules for the sale of certain types of goods, a list of durable goods that are not subject to the buyer's requirement to provide him with a similar product free of charge for the period of repair or replacement, and a list of non-food products of good quality that are not subject to return or exchange for similar goods from other countries. the size, shape, size, style, colors or configuration of" publications reproduced on technical media are not subject to return or exchange for a similar product.

 

 

8. Privacy and Security

 

8.1. When implementing this Agreement, the Parties ensure the confidentiality and security of personal data in accordance with the current version of Federal Law No. 152-FZ dated 27.07.2006 "On Personal Data" and Federal Law No. 149-FZ dated 27.07.2006 "On Information, Information Technologies and Information Protection".

8.2. The Parties undertake to maintain the confidentiality of information, information received during the execution of this Agreement, and take all possible measures to protect the information received from disclosure.

8.3. Confidential information means any information transmitted by the Seller and the Buyer during the implementation of the Agreement and subject to protection, the exceptions are listed below.

8.4. Such information may be contained in local regulations, contracts, letters, reports, analytical materials, research results, diagrams, schedules, specifications and other documents provided by the Seller, both on paper and on electronic media.

 

 

9. Force majeure

 

9.1. The Parties are released from liability for non-fulfillment or improper fulfillment of obligations under the Agreement if proper fulfillment proved impossible due to force majeure, that is, circumstances that are extraordinary and unavoidable under these conditions, which include: prohibited actions by the authorities, epidemics, blockades, embargoes, earthquakes, floods, fires or other natural disasters.

9.2. In the event of these circumstances, the Party is obliged to notify the other Party within 30 (Thirty) business days.

9.3. A document issued by an authorized state body is sufficient evidence of the existence and duration of force majeure.

9.4. If force majeure circumstances continue to apply for more than 60 (Sixty) business days, each Party has the right to unilaterally withdraw from this Agreement. 

 

 

10. Copyright

10.1. All text information and graphic images posted on the Website https://iriskabeat.ru , as well as in the contents of Digital Goods, are the property of the Seller and are not subject to distribution without the Seller's consent.

 

11. Rights, duties and responsibilities

11.1. The Seller is not responsible for the improper use of the goods ordered on the website by the Buyer. https://iriskabeat.ru .

11.2. In accordance with clause 4 of Article 16 of the Federal Law "On Information, Information Technologies and Information Protection", the Seller undertakes to: prevent attempts of unauthorized access to information and/or transfer it to persons who are not directly involved in the execution of Orders; timely detect and prevent such facts.

11.3. The Buyer has the right to send all claims regarding improper execution of the order to the e-mail address indicated on the website page. https://iriskabeat.ru/contacts . All incoming information is processed as soon as possible.
